1 Acceptance of Terms

By creating an account, accessing, or using NextBigBox eSign Services — whether as an individual or on behalf of an organisation — you confirm that:

• You have the legal authority to enter into this binding agreement.
• If acting on behalf of a company or entity, you have the authority to bind that entity to these Terms.
• You are at least 18 years of age and legally capable of entering into contracts under applicable Indian law.
• All information you provide during registration and use is accurate, current, and complete.

2 Definitions

For the purposes of these Terms, the following definitions apply:

3 Eligibility & Registration

To access our Services, you must:

• Be a registered legal entity (company, LLP, partnership, or sole proprietorship) incorporated in India, or an individual aged 18 years or above.
• Provide accurate business registration details, GST number (if applicable), and authorised signatory information.
• Maintain the confidentiality of your account credentials. You are fully responsible for all activity conducted under your account.
• Promptly notify us at info@nextbigbox.io of any unauthorised access or suspected breach of your account.

NextBigBox reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including if we reasonably believe the information provided is inaccurate, false, or incomplete.

4 Services Description

NextBigBox provides a fully digital, Aadhaar-based eSign platform that enables organisations to:

• Obtain legally valid electronic signatures from customers, employees, or partners.
• Verify identity in real-time using UIDAI-approved OTP and biometric authentication.
• Support up to six signers per document with configurable signature positions.
• Generate and distribute signing links across multiple channels.
• Maintain tamper-proof audit trails for every signing transaction.
• Integrate with existing LOS, LMS, CRM, and core banking systems via REST APIs and SDKs.

The availability, features, and scope of Services may vary based on your subscription plan. NextBigBox reserves the right to modify, enhance, or discontinue any feature with reasonable prior notice.

5 Permitted Use & Restrictions

You may use our Services to:

• Execute legally binding agreements, loan documents, consent forms, and onboarding paperwork.
• Integrate eSign workflows into your business applications using our APIs and SDKs.
• Access your account dashboard and signed document archive.
• Configure signer workflows and notification settings.

You must NOT:

• Use the Services for any unlawful, fraudulent, or deceptive purpose.
• Attempt to gain unauthorised access to our systems, servers, or other accounts.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our Platform.
• Resell, sublicense, or commercially exploit the Services without prior written consent from NextBigBox.
• Transmit malware, viruses, or any code designed to harm our infrastructure or other users.
• Use the Services to process documents for non-consenting individuals or in violation of applicable KYC/AML laws.
• Attempt to circumvent or disable any security, authentication, or compliance features of the Platform.
• Use automated bots, scrapers, or crawlers to access the Platform without express written permission.

Violation of these restrictions may result in immediate suspension or termination of your account, and may expose you to civil or criminal liability.

6 User Obligations

As a User of our Services, you agree to:

• Ensure all documents submitted for signing are lawful, accurate, and do not infringe any third-party rights.
• Obtain valid and informed consent from each End User prior to initiating an eSign session on their behalf.
• Comply with all applicable laws, including the IT Act 2000, UIDAI regulations, RBI/SEBI guidelines, and the Digital Personal Data Protection Act 2023.
• Maintain appropriate technical and organisational measures to protect credentials and API keys from unauthorised access.
• Promptly report any suspected misuse, security incidents, or compliance violations to NextBigBox.
• Keep your account information, billing details, and authorised signatory information up to date.
• Not use the Platform to facilitate identity fraud, money laundering, or any other criminal activity.

7 Intellectual Property

All intellectual property rights in and to the NextBigBox Platform — including but not limited to software, algorithms, user interfaces, logos, trademarks, documentation, and APIs — are and shall remain the exclusive property of NextBigBox Pvt. Ltd. or its licensors.

Subject to your compliance with these Terms, NextBigBox grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes during the subscription term.

You retain all rights to Content (documents, data) that you upload to the Platform. By uploading Content, you grant NextBigBox a limited licence to process, store, and transmit that Content solely to provide the Services.

You must not:

• Copy, modify, or create derivative works of the Platform or any part thereof.
• Use NextBigBox's trademarks, logos, or branding without prior written consent.
• Remove or alter any proprietary notices, labels, or watermarks on the Platform or documents.

8 Payment & Subscription

Access to NextBigBox eSign Services is subject to the subscription plan selected by you. The following terms apply:

• Pricing: All fees are as specified in your Order Form or as displayed on our pricing page. Prices are exclusive of GST and other applicable taxes.
• Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase.
• Payment: You authorise NextBigBox to charge your payment method on file for all fees due. Failure to pay may result in suspension of Services.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 7 days prior to the renewal date.
• Refunds: Fees paid are non-refundable except as expressly stated in our Cancellation and Refund Policy or as required by applicable law.
• Price Changes: NextBigBox reserves the right to change pricing with 30 days' advance written notice. Continued use after a price change constitutes acceptance.
• Usage-Based Charges: Certain features (e.g., per-transaction eSign API calls) may incur usage-based charges in addition to your base subscription fee.

9 Aadhaar & KYC Compliance

Our eSign Services utilise Aadhaar-based authentication facilitated through UIDAI-approved Authentication Service Agencies (ASAs/AUAs). By using these features, you acknowledge and agree that:

• Aadhaar-based eSign is governed by the Aadhaar Act, 2016, and the UIDAI eSign Service Guidelines.
• You will obtain explicit, informed, and free consent from each End User before initiating any Aadhaar-based verification or signing process.
• You will not store, copy, or misuse any Aadhaar data received through our Platform in violation of the Aadhaar Act or applicable UIDAI/MeitY guidelines.
• You are responsible for ensuring your use of Aadhaar-based Services complies with applicable RBI, SEBI, or sectoral regulatory guidelines applicable to your business.
• NextBigBox acts as a technology facilitator and is not responsible for the accuracy of Aadhaar data provided by UIDAI or for UIDAI's service availability.

10 Data Privacy & Security

Your use of NextBigBox Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments include:

• All personal data is processed in accordance with the Digital Personal Data Protection Act (DPDPA), 2023.
• Data is encrypted in transit (TLS 1.2+) and at rest (AES-256).
• All data is stored within India unless otherwise agreed in writing.
• We maintain ISO 27001-aligned security practices and conduct regular third-party security audits.
• We maintain tamper-proof audit logs for all eSign transactions for a minimum of 7 years.

In the event of a data breach that is likely to result in a risk to your rights, NextBigBox will notify you without undue delay as required by applicable law.

11 Disclaimers & Limitation of Liability

Disclaimer of Warranties: The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NextBigBox disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

NextBigBox does not warrant that:

• The Services will be uninterrupted, error-free, or completely secure.
• Any specific result or outcome will be achieved through use of the Services.
• Third-party integrations (including UIDAI APIs) will be continuously available or accurate.

Limitation of Liability: To the maximum extent permitted by applicable law, NextBigBox's total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to NextBigBox in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall NextBigBox be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

12 Indemnification

You agree to indemnify, defend, and hold harmless NextBigBox Pvt. Ltd., its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

• Your use or misuse of the Services.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third-party rights, including intellectual property, privacy, or contractual rights.
• Any Content you upload, transmit, or process through the Platform.
• Non-compliance with Aadhaar Act, UIDAI guidelines, or KYC/AML regulations applicable to your business.
• Any claim by an End User arising from your use of the eSign Services on their behalf.

13 Suspension & Termination

By You: You may terminate your account at any time by providing 30 days' written notice to info@nextbigbox.io. Termination does not entitle you to a refund of prepaid subscription fees.

By NextBigBox: We may suspend or terminate your access to the Services immediately and without prior notice if:

• You breach any material provision of these Terms and fail to remedy the breach within 7 days of notice.
• You engage in fraudulent, illegal, or abusive activity through the Platform.
• You fail to make payment of any undisputed fees when due.
• We are required to do so by a court order, regulatory directive, or applicable law.
• Continued provision of Services poses a security or legal risk to NextBigBox or its users.

Effect of Termination: Upon termination, your licence to use the Services ceases immediately. You may request an export of your signed document data within 30 days of termination, after which it will be retained only as required by law and then securely deleted.

Sections 7 (Intellectual Property), 11 (Disclaimers), 12 (Indemnification), and 14 (Governing Law) shall survive termination of these Terms.

14 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution Process:

• Step 1 — Informal Resolution: In the event of a dispute, the parties agree to first attempt to resolve the matter informally by contacting info@nextbigbox.io and providing a written description of the dispute.
• Step 2 — Mediation: If the dispute is not resolved within 30 days, either party may refer it to mediation under the rules of an agreed mediation body.
• Step 3 — Arbitration: If mediation fails, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator agreed upon by both parties, in the English language, seated in New Delhi, India.

The courts of New Delhi, India shall have exclusive jurisdiction over any matters not subject to arbitration or for the purpose of enforcing an arbitral award.

15 Changes to Terms

NextBigBox reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify registered account holders via email at least 14 days before the changes take effect.
• Display a prominent notice within the Platform dashboard.

If you disagree with any changes, you must stop using the Services and notify us of termination before the effective date of the changes. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
